Rite Coach Terms of Use

1. Definitions

• Athlete means a child or youth athlete who uses the Services or receives Coaching Services.
• Parent/Guardian means a parent or legal guardian of a Minor Athlete.
• Coach means an individual who offers coaching, training, instruction, or related services through the Services.
• Coaching Services means any coaching, training, instruction, sessions, or services offered by Coaches.
• Minor means a person under the age of 18.
• User Content means content a user submits, posts, uploads, or otherwise makes available through the Services.

2. Eligibility and Account Registration

• You may use the Services only if you are legally able to form a binding contract.
• If you are a Parent/Guardian, you represent that you are the legal parent or guardian of the Minor Athlete and consent on their behalf.
• Provide accurate and complete information.
• Maintain and promptly update your information.
• Keep your login credentials secure and be responsible for all activity under your account.

We may suspend or terminate your account at any time if we believe you violated these Terms or pose a risk to the Services or other users.

3. The Services Are a Platform

Rite Coach provides a venue and tools that allow Parents/Guardians and Athletes to discover and connect with Coaches. Rite Coach is not a provider of Coaching Services. Coaches are independent third parties, and any Coaching Services are provided solely by the Coach.

• Rite Coach does not employ, supervise, or direct Coaches.
• We do not guarantee Coach qualifications, licensing, training, or suitability.
• We do not conduct background checks unless expressly stated.
• We do not verify identities, ages, or legal guardianship.

You acknowledge that you use the Services at your own risk, including risks arising from interactions with Coaches or other users.

4. Coach Status: Third-Party Service Providers

Coaches are third-party service providers and are not employees, agents, partners, or joint ventures of Rite Coach. Coaches are solely responsible for the quality, safety, and legality of Coaching Services, their own business practices, compliance with laws, required insurance, permits, or certifications, and communications and scheduling with users.

5. Minors; Parent/Guardian Responsibility

• You supervise or appropriately monitor the Minor Athlete's use.
• You are solely responsible for selecting a Coach.
• You assess whether any activity is medically and physically appropriate.
• You assume all risks associated with athletic training and Coach interactions.

6. Bookings, Communications, and Interactions

Rite Coach may provide tools to facilitate communication between Coaches and Parents/Guardians. Such tools may be modified or discontinued at any time.

• Rite Coach is not responsible for communications between users.
• We are not responsible for cancellations or rescheduling by a Coach.
• We are not responsible for missed sessions, no-shows, or disputes.
• We are not responsible for outcomes, progress, injuries, or performance results.

8. User Content; Reviews; Prohibited Content

You are solely responsible for your User Content.

• Illegal, fraudulent, misleading, defamatory, or harassing content.
• Sexually explicit or exploitative content, especially regarding minors.
• Hateful or discriminatory content.
• Invasive of privacy, including contact details of minors.
• Infringing on intellectual property.
• Harmful, malicious, or disruptive content.

We may remove User Content or suspend accounts at any time.

9. License to User Content

By posting User Content, you grant Rite Coach a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, and distribute such User Content solely in connection with operating and improving the Services.

10. Acceptable Use

• Do not misuse the Services or interfere with operation.
• Do not scrape, crawl, or reverse engineer.
• Do not attempt unauthorized access to accounts or systems.
• Do not use the Services for illegal activity.

11. Intellectual Property

The Services, including all designs, text, graphics, logos, and software, are owned by or licensed to Rite Coach and protected by intellectual property laws. You may not copy, modify, or distribute any portion of the Services without written permission.

12. Third-Party Links

The Services may contain links to third-party sites. Rite Coach does not control and is not responsible for third-party content.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Rite Coach does not warrant that the Services will be uninterrupted or error-free.

14. Limitation of Liability

To the maximum extent permitted by law, Rite Coach will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. Rite Coach's total liability for any claim arising out of or related to the Services will not exceed the greater of (A) the amount paid by you to Rite Coach in the 12 months before the event giving rise to the claim or (B) $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless Rite Coach and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, your interactions with other users, or your violation of these Terms.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason.

17. Changes to the Services or Terms

We may modify the Services or these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance.

18. Governing Law; Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles. Any dispute not subject to mandatory arbitration must be brought exclusively in state or federal courts located in New Jersey.
